These Terms and Conditions (the “T&Cs”) govern the relationship between Revel Street. (“Platform,” “we,” or “us”) and you, the Partner establishment (restaurant, bar, club, or other venue) (“Partner,” “you”). They reflect a mixed flat-fee and commission model, opt-out rights with 30 days’ notice, payment terms, data protection (UK GDPR), and confidentiality. By submitting your listing, approval and agreeing to work with us, you acknowledge and accept these T&Cs as binding upon listing approval.
Listing and Post-Listing Obligations
Listing Milestone: Listing of the Partner on the Platform will be completed upon the Partner’s confirmation and acceptance of the listing and partnership terms.
Automatic Binding Effect: Notwithstanding any non-signature form for a contract, once the Partner approves and the listing is published/posted, these T&Cs apply to the Partnership and are binding from that point forward.
Non-Signature Acceptance: The Partner’s approval and publication of the listing constitutes acceptance of these T&Cs, and the Partner agrees to be bound by them from that moment, irrespective of a separate signature.
Fees, Payment Terms, and Late Payments
Flat Fees and Commissions: The flat fee is payable only on premium bookings that are mentioned in the Partner’s separate proposal.
The commission on private dining and event space hire partial/full is as agreed and highlighted in the Partner’s separate Proposal document. Taxes (VAT) are the Partner’s responsibility where applicable.
Invoicing and Payment: Invoices will be issued according to the schedule day as specified in the Proposal. Payments are due within the days of receipt of the invoice which is highlighted and agreed upon in the proposal document.
Late Payment Fee: Any payment not received by the Due Date will incur a late fee of £10 per day late fee, starting the day after the Due Date, until payment is received.
Disputes on Invoices: If the Partner disputes any portion of an invoice, the undisputed portion must be paid by the Due Date, and the dispute will be resolved under the dispute resolution process in these T&Cs.
Suspension for Non-Payment: If undisputed amounts remain unpaid for more than 14 days after the Due Date, Revel Street Platform may suspend access to its services, listings, and bookings until payment is cured and could reach out to third party service to claim the amount.
Termination for Non-Payment: Repeated or material non-payment may be grounds for termination of the Partnership in accordance with these T&Cs and all pending payments must be cleared by the partner.
Important Note on Fees: The flat fee described in these T&Cs is payable only on bookings that are specified in the Partner’s proposal. The commission rate described is the rate agreed and highlighted in a separate document (the Proposal) that is sent to the Partner. That Proposal is considered part of the overall agreement as its tailored to each business on different terms and acceptance.
Content, Branding, and Marketing
Content Ownership: Each party retains ownership of its own content and branding.
License to Content: The Partner grants the Platform an access, non-exclusive, revocable license to use Partner content (menus, images, videos, events, branding) for marketing and operating the Platform during the Term to preform and execute the tasks.
Content Removal on Termination: Upon termination or opt-out, the Platform will remove Partner content from the Platform and cease using Partner branding on its channels, subject to ongoing legal or contractual obligations.
Reservations, Cancellations, and Guest Relations
Booking Management: The Platform will manage reservations and guest communications in line with its policies and the Partner’s published rules.
Cancellations and Refunds: Refunds and handling of cancellations will follow the Partner’s policies and applicable law, including consumer protection requirements. We will not be dealing with any dispute raised by guests.
Disputes: Guest-related disputes will be resolved via the Partner’s dispute resolution process.
Intellectual Property
IP Rights:Each party retains ownership of its own IP.
Licensing: Platform licenses Partner content for listing, promotion, and operation on the Platform for the Term.
Post-Termination IP: After termination, the Platform’s license to use Partner content ends, except as necessary to fulfil completed transactions and comply with legal obligations.
Opt-Out Rights and Platform Termination
Right to Opt-Out: Revel Street Platform holds the right to opt out of this Partnership at any time by giving 30 days’ notice to the Partner in an email or via post. The opt-out right is exercised at Revel Street Platform’s sole discretion and is not a breach by either party.
Removal of Representations: At the end of the 30-day notice period, Revel Street Platform will remove all representations, listings, branding, images, menus, events, and other content that represents the Partner on the Platform.
Social Media Content: Revel Street Platform will remove or deactivate any social media content that represents the Partner on its channels within a reasonable time after the notice period, and promotional campaigns related to the Partner will cease.
Existing and In-Progress Bookings: Any future bookings for Platform clients that are confirmed or in the process of being confirmed at the time of termination notice will be suspended.
Exit Assistance: Revel Street Platform will provide reasonable assistance during the 30-day notice period to wind down active campaigns, transfer of data as required by law, and related activities, in compliance with data protection and confidentiality obligations.
Governing Law and Dispute Resolution
Governing Law: This Agreement is governed by the laws of England and Wales.
Dispute Resolution: Parties should attempt in good faith to resolve disputes. If unresolved, disputes may be brought before the courts of England and Wales or resolved via mediation/arbitration as agreed in writing.
Jurisdiction: The courts of England and Wales have exclusive jurisdiction to settle disputes unless the parties agree to another forum.
Compliance with Laws
The Partner shall comply with all applicable laws, including licensing, health and safety, employment, and consumer protection requirements relevant to premium dining and nightlife venues.
The Platform shall comply with applicable laws governing platform operations and processing of personal data.
Term and Termination
Term: The Term begins on the Effective Date and continues until terminated as described herein.
Termination for Convenience: Either party may terminate on 30 days’ written notice.
Termination for Cause: Either party may terminate immediately for material breach or insolvency if not cured within a reasonable period after notice.
Effects of Termination: Accrued fees must be paid; data handling and wind-down of active promotions will occur in accordance with these T&Cs and the DPA.
